Business and Corporate

When entrepreneurs are starting a new business venture or running an existing business, it is vital for them to obtain expert legal advice on the formation of legally sound business entities and on the best strategy to achieve their business goals.
Further, for any situation that might legally impact a business such as entering into a contractual obligation, participating in a merger or acquisition, ensuring   intellectual property protection, dissolving a business or receiving external financing, sound legal representation should be obtained immediately as a mistake made in any of these areas can cost business owners time and money.

For many years, I have provided legal advice in many business and corporate matters to help small to medium-sized businesses in Jamaica (non profit or profit generating enterprises) develop and grow. I also advise and assist overseas companies in opening offices or acquiring businesses or assets in Jamaica.  My involvement with Chambers of Commerce in both Jamaica and Hong Kong keeps my fingers on the pulse of international and local business trends which enhances the service my clients obtain.

The transactional matters I handle include:

  • Forming and organizing local and off-shore business entities
  • Drafting, reviewing and advising on business-related documents such as:
    • Partnership/Founders/Operating Agreements
    • Shareholders Agreements
    • Distribution Agreements
    • Merger and Acquisition Agreements
    • Commercial Leases
    • Employment/Independent Contractor Agreements
    • Confidentiality Agreements
    • Sales of Business Agreements
  • Preparing and filing Work Permit Applications
  • Intellectual property protection and licensing agreements
  • Social Media and Privacy Policy development
  • Releases and Waivers
